                                                   Constitution


Article I Name

The official name of the organization shall be the MBA Association San Jose State University. This is a non-profit organization.

Article II Purpose/Mission

The mission of the MBAA is to promote student development and welfare, and to enhance the identity and perception of the MBA
program, with emphasis on developing external relationships with alumni, faculty, and the business community.

Article III Affiliation

The organization is not affiliated with any other organizations.

Article IV Membership

Section 1 Active Members

Membership shall be open to all students CLASSIFIED or CONDITIONALLY CLASSIFIED in the San Jose State University Masters of
Business Administration program.

Section 2 University Policy

      1.        Voting membership is restricted to matriculated, currently enrolled students of San Jose State University.
      2.        Membership in the organization will not be denied to anyone on the basis of race, religion, national origin, age, sex,
                 disability, veteran’s status, or sexual orientation, except as sanctioned by law (California Administrative Code, Title 5, Section
                 41500; Education Amendments of 1972, Title IX).
      3.        At least eighty percent (80%) of all members of the organization are matriculated, currently enrolled students at San Jose State
                 University.
      4.        No member of this organization shall engage in hazing, participate in hazing, or commit any act that causes or is likely to
                 cause bodily danger, physical harm, or personal degradation or disgrace resulting in physical or mental harm to any fellow
                 student or person attending this institution (California Education Code, Article 8, Sections 10851-10853).

Section 3 Suspension and Expulsion

The following offenses may be grounds for suspension or expulsion from the Association:  

      1.        Any illegal or purposely immoral act;
      2.        Any act or deed that brings shame to the Association, its members, or San Jose State;
      3.        Failing to maintain good academic standing above a 3.0 average.
      4.        Missing two consecutive meetings without required approval from President and/or Advisor.

Article V Officers

Section 1 Elections

Elections shall be held every year during the last 30 days of the Spring semester.  

      1.        All officers of this organization must be matriculated, currently enrolled students at San Jose State University.
      2.        All officers must maintain a minimum overall 3.0 grade point average, must be enrolled in at least 6 units, and must be in good
                 standing with San Jose State University during their term of office.
      3.        Any MBAA member may run for any position, as long as he/she does not already hold another MBAA position for the same
                 term.
                 Members who have served the Association during the previous term may run for a second term for any position.
      4.        All officers and advisors of this organization are required to complete an Alcohol Education Training offered by Student
                 Involvement.
      5.        The person with majority of votes wins.  If no person achieves a majority, then the two leading candidates shall be run-off.
      6.        Vacancies.  In the event of a vacancy, the runner-up in the most recent election shall be offered the position. If the runner-up
                 declines, see Section 4 – duties of President.

Section 2 Elected Officers

The elected officers shall be the President, VP(s) of Marketing, VP(s) of Communications, VP(s) of Finance, VP(s) of Alumni Relations,
and VP (s) of Student Affairs. At the discretion of the President, officer roles may be split or combined for more effective utilization of
talents and resources.

The term of office shall be one (1) full year from the date of elections. Officers have the right to resign from their position.

Section 3 Appointed Officers

Additional officers can be named by the Executive Board with unanimous consent of all of the officers.

Section 4 Duties of Officeholders

1.        President
    
      a.        The President shall preside at all meetings of the MBAA, determine the meeting agenda, maintain a schedule of events, and
                 delegate official responsibilities.
      b.        Attend Executive Leadership Council meetings or appoint an officer if unable to attend.
      c.        Set direction for MBA Association & officers to meet the objectives of the organization.
      d.        Call elections to fill vacancies.
      e.        Liaison for external partners/communications.
      
2.        VP of Finance/Treasurer

      a.        The Treasurer shall maintain the financial records of the MBA Association.  
      b.        The Treasurer shall also coordinate with other officers the planning and budgeting of events and fund raising.
      c.        Monitors expenditures & invests money in activities consistent with goals of the MBAA.
      d.        Submit requests for funding to the College of Business and other sources of funds.
      e.        Submit funding reconciliation reports to the College of Business.

3.        Vice President of Communications
      
      a.        The VP of Communications shall maintain the official MBAA Web site.
      b.        The VP of Communications shall maintain MBAA social networking groups.

4.        Vice President of Marketing
      
      a.        The VP of Marketing shall be the leader for promotion of all events.
      b.        The VP of Marketing will be responsible for conducting student surveys, creating fliers and announcements, and coordinating
                 classroom reps.   
      c.        The VP of Marketing will be responsible for taking photos at all events and distributing pictures accordingly afterwards.

5.  Vice President of Student Affairs
      
      a.   The VP of Student Affairs will help with the planning and organizing of mixers and trips.   
      b.   The VP of Student Affairs will respond to student emails.
      c.   The VP of Student Affairs will encourage membership in the MBAA
      
6.   Vice President of Alumni Relations

      a.     The VP of Alumni Relations will be in charge of maintaining contact with all SJSU MBA alumni interested in working with current
              SJSU MBA students and/or attending MBA Association events.
      b.     The VP of Alumni Relations will foster an alumni network by helping in the planning for events and improving communication
              channels between which includes current students and alumni.

Article VI Removal From Office

Section 1 Removal of Officers

      1.        Any officer can be removed from office with a recommendation of at least two Executive Board Members and the vote of the
                 majority of members present.  
      2.        Until an election can be held, President shall appoint a temporary replacement.  If the President position is vacant, the VP
                 Finance shall hold the position until elections.
      3.        Special elections to fulfill vacancies shall take place no more than four weeks after vacancy.


Article VII Executive Board

Section 1 Membership

Membership shall consist of:

      1.        President,
      2.        VP of Finance (Treasurer)
      3.        VP of Communications
      4.        VP of Marketing
      5.        VP of Alumni Relations
      6.        VP of Student Affairs

Section 2 Chairman

The President shall be the chair of the Executive Board.

Article VIII Advisors

Section 1 Assignment of Position

The organization must have a University advisor.  This person must hold at least a bachelors degree and be employed as a faculty or
staff member by San Jose State University.  A Graduate Assistant/Intern may assume the advisor role if approved by the Student
Involvement staff.  

Section 2 Voting Rights

The advisor shall be a non-voting member of the organization.

Section 3 Duties and Responsibilities

The duties of the advisor shall be to:

      1.        Assist the organization in fulfilling their mission and purpose
      2.        Be knowledgeable of the organization’s constitution and bylaws and assist the organization’s members in interpreting them.
      3.        Be knowledgeable of University policies and procedures regarding student organizations and ensure organization
                 compliance to the best of their ability.
      4.        Be aware of the organization’s activities.
      5.        Be aware of the organization’s financial standing and all financial transactions using the organization’s funds.
      6.        Attend organization meetings.

Article IX Meetings

Section 1 Time and Location

The President shall decide the time and place. Meetings are held at least once a month.

Section 2 Quorum

A quorum shall be defined as 4 or more officers.

Section 3 Parliamentary Authority

Robert’s Rules (revised) shall apply in making motions for resolutions.

Article X Finances

There are no dues required to be a member of the MBA Association.

Article XII Amendments

Section 1 Proposal

Any member may propose an amendment at an Executive Board meeting.

Section 2 Review

The Executive Board shall review and word any amendment proposal.

Section 3 Voting

Amendments shall pass with a two-thirds vote of the Executive Board.

Section 4 Compliance

These bylaws are not to conflict with any policies and/or laws of the University, the State of California, or the United States.  The President
shall enforce compliance with these bylaws.

Article XIII Tax Exemption

The MBA Association San Jose State University has received Federal Income tax exemption from IRS under IRC sec 501(c)(6) on July
16th 2002.

Pursuant to R&TC Section 23701e of FTB, the association will seek CA State tax exempt status. To comply with FTB guidelines the
Association will adopt the following guidelines.

Section 1 Name and Purpose

Article I and Article II of this document details the name and purpose of the organization.

Section 2 Non Profit Clause

The organization does not contemplate pecuniary gain or profit to the members thereof and is organized for non-profit purposes.

Section 3 Limitation Clause

Notwithstanding any of the above statements of purposes and powers, this organization shall not, except to an insubstantial degree,
engage in any activities or exercise any powers that are not in furtherance of the specific purposes of this organization.
